Terms & Conditions of the Diversity Calendar Licence Agreement

Diversiton agrees to grant this License to Organisations (Licensees) to use its Diversity Calendar on the basis of trust and shared responsibility. The Diversity Calendar is only available via the web through organisations who have agreed to this License arrangement.

The aim of the License is to:

  1. Ensure that all employees of the Licensee can have easy and unlimited access to the material at any time.
  2. Enable all visitors to the website of the Licensee to have access to the information (bearing your organisation logo and the Diversiton name) at any time.
  3. Help promote your organisation's commitment to diversity and inclusion – internally within your organisation, locally with your users and internationally through the internet.
  4. Help to protect the reputation of Diversiton and the Diversity Calendar by only making online editions of the Diversity Calendar available through trusted partners – our Licensee organisations.

Time period

The License is valid for the 12 month period which the Diversity Calendar relates to.

Distribution

  1. We ask organisations to include the following text when distributing the online calendar or placing it on their website.
    "The Diversity Calendar is copyright to Diversiton (www.diversiton.com) and under the terms of this License agreement usage is restricted to employees of (your organisation) and its clients/users within the normal parameters of day to day work. Any unauthorised copying or distribution outside of the organisation is strictly prohibited. Diversiton is a non profit making organisation and all resources are used to support the development of new products and services in the promotion of equality and diversity. Diversiton also supports a range of charitable projects. Thank you."
  2. Licensee organisations are free to host the Diversity Calendar on their organisation'website, intranet site or via email direct to employees. Diversiton asks the Licensee organisation to help to ensure that the calendar is distributed only through these approved routes. This is to protect the name and integrity of the Licensee organisation and the distribution process. Should you find your calendar copied or hosted on an alternative (unlicensed) site or being distributed illegally in any format whatsoever, then please contact us immediately.

Maintaining the integrity of the Web Calendar

The Licensee may not:

  1. sublicense, sell, assign or transfer the Diversity Calendar to any other organisation without written agreement;
  2. make the Diversity Calendar available in any medium accessible by persons other than authorised Users;
  3. sell, license or distribute any end product containing the Licensed Material in a way that is intended to allow or invite a third party to download, extract or access the Licensed Material as a standalone file;
  4. include the Licensed Material in an electronic template intended to be reproduced by third parties on electronic or printed products;
  5. modify or reconfigure the pdf version of the Diversity Calendar supplied to Licensee Organisations in any way whatsoever.

Copyright

The Diversity Calendar is copyright to Diversiton and the material cannot be used in any other format without permission. No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, Diversiton grants Licensee no right or license, express or implied, to the Licensed Material. In connection with the use of the Diversity Calendar and Diversiton trade names, trademarks, logos or service marks ("Marks"), the Licensee acknowledges and agrees that the Diversity Calendar is and shall remain the sole property of Diversiton.

Ending this License Agreement

Diversiton will always seek to work positively with its Licensee organisations in line with the aims of this Agreement. The license contained in this Agreement will however be subject to termination if the Licensee fails to comply with any provision of this Agreement and the matter is unresolved. Upon termination, Licensee must immediately (i) stop using the Licensed Material and (ii) delete and remove the Licensed Material from Licensee's premises, computer systems and storage (electronic or physical).
